2. Description of the Services

Azure Spend Watch is a SaaS platform that forwards Azure Budget Alert webhook payloads to users via WhatsApp Business notifications. The Services allow you to:

• connect your Azure subscription webhook URLs,
• receive real-time cost and budget alerts via WhatsApp,
• manage multiple subscriptions and alert recipients,
• configure notification preferences and thresholds.

The Services do not access, store, or transmit your Azure credentials. Only webhook payload data is processed.

3. Account Registration

To use the Services you must create an account using Microsoft, Google, or email authentication via Microsoft Entra External ID. You agree to:

• provide accurate and complete registration information,
• keep your credentials secure and not share access,
• notify us immediately of any unauthorized use of your account.

You are responsible for all activity that occurs under your account.

4. Subscription Plans and Billing

4.1 Plans

The Services are offered under Free, Pro, and Business plans with different feature limits. Plan details are described on the Pricing page.

4.2 Payment

Paid subscriptions are billed through Paddle. By subscribing to a paid plan, you authorize Paddle to charge the applicable fees to your payment method. All prices are in USD unless stated otherwise.

4.3 Cancellation and Refunds

You may cancel your subscription at any time. Access to paid features continues until the end of the current billing period. We do not offer refunds for partial billing periods except where required by applicable law.

4.4 Price Changes

We may change pricing with at least 30 days' written notice. Continued use after the notice period constitutes acceptance of the new pricing.

5. Acceptable Use

You agree not to:

• use the Services for any unlawful purpose,
• attempt to reverse-engineer, copy, or create derivative works of the Services,
• interfere with or disrupt the Services or servers,
• use the Services to send spam or unsolicited messages,
• exceed usage limits imposed by your subscription plan,
• resell or sublicense access to the Services without written permission.

6. Intellectual Property

All intellectual property rights in the Services, including software, design, and documentation, are owned by Wertheimer Engineering Ltd. These Terms do not grant you any rights to our trademarks, trade names, or other intellectual property except as expressly stated.

7. Data and Privacy

Your use of the Services is subject to our Privacy Policy, which is incorporated into these Terms by reference. You are responsible for ensuring you have the right to share any data you provide to the Services.

8. Service Availability and SLA

We aim for high availability but do not guarantee uninterrupted access. The Services are provided "as is" and "as available". We may perform maintenance with or without prior notice. We are not liable for losses arising from downtime or service interruption.

9. Limitation of Liability

To the maximum extent permitted by applicable law, the Provider's total liability to you for any claims arising from these Terms or the Services shall not exceed the amount you paid to us in the 12 months preceding the claim.

We are not liable for indirect, incidental, consequential, or punitive damages, including loss of data, revenue, or profits.

10. Disclaimer of Warranties

The Services are provided without warranty of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Services will meet your requirements or be error-free.

11. Termination

We may suspend or terminate your access to the Services at any time if you breach these Terms or if we discontinue the Services. Upon termination, your right to use the Services ceases immediately. Provisions that by their nature should survive termination will do so.

12. Governing Law

These Terms are governed by the laws of the State of Israel, without regard to its conflict-of-law provisions. Any disputes shall be subject to the exclusive jurisdiction of the competent courts in Haifa, Israel.

13. Changes to these Terms

We may update these Terms from time to time. We will notify you of material changes at least 14 days in advance by email or in-app notice. Continued use of the Services after changes take effect constitutes acceptance of the revised Terms.
